1. Service description and account responsibilities

1.1 What AgentBell provides

AgentBell includes a macOS desktop application and an optional companion website (including agentbell.dev) for account sign-in, subscription management, and the companion store. Core features include monitoring AI coding assistant activity across supported IDEs, real-time status alerts, a Live2D companion experience, optional news briefing, and related productivity features designed to support cognitive continuity while you work.

1.2 IDE integrations and automation signals

A core feature of the Services is integration with third-party editors and tools (for example via hooks, MCP, or similar mechanisms). Where you explicitly install and authorize such integrations, AgentBell may receive event signals from your local environment to power status, reminders, and analytics shown inside the App. You are solely responsible for your instructions to third-party tools and for compliance with those third parties' terms. You are the only person authorizing how those signals are used inside AgentBell.

1.3 Eligibility and account security

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use.

2. Data privacy and local processing

2.1 Local-first design

We design AgentBell so that sensitive workflow data—such as IDE status signals used for rhythm detection—is processed on your device where feasible. Account, authentication, and subscription records necessary to operate the Services may be processed by our infrastructure providers as described in our Privacy Policy.

2.2 No training on your source code or chats

We do not use your source code, full chat transcripts, or project file contents to train our own or any third-party AI models as part of the Services. We do not collect those materials for model training purposes. For details, see our Privacy Policy.

2.3 Limited technical telemetry

To maintain and improve the Services, we may collect limited, non-identifying technical and usage information such as anonymized crash reports and feature usage frequency.

2.4 Third-party APIs and OAuth

If you connect third-party accounts or API keys (for example for AI providers), your data interactions with those providers are governed by their respective policies. AgentBell acts as a client tool for such integrations; we do not control third-party processing.

3. Disclaimers, risk disclosure, and limitation of liability

3.1 "As is" and "as available"

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, reliability, security, compatibility, or non-infringement.

3.2 Risks of AI tools and IDE automation

AI-assisted development is probabilistic. You acknowledge and accept inherent risks including:

• Operational errors: integrations may misinterpret events or produce unexpected side effects in your local environment.
• Incorrect outputs: generated information, suggestions, or code may contain errors and must not be your sole basis for critical decisions.
• Compatibility issues: the Software may not work with every OS version, IDE version, or hardware configuration.

3.3 Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or relating to this Agreement or the Services, even if we have been advised of the possibility of such damages. This includes, without limitation:

• Loss or corruption of data
• Damage to computer systems, hardware, or software
• Business interruption, lost profits, or lost goodwill
• Decisions made in reliance on AI-generated outputs

3.4 Aggregate cap

To the maximum extent permitted by law, our aggregate liability for all claims will not exceed the greater of (A) the total amount you paid to us in the six (6) months before the claim, or (B) one hundred U.S. dollars (USD $100).

4. Your responsibilities and indemnification

4.1 Your conduct

You are solely responsible for your use of the Services, including any instructions you provide to third-party tools and any integrations you enable. You should maintain backups of important data and follow reasonable security practices.

4.2 Indemnification

You agree to indemnify and hold harmless AgentBell and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of this Agreement; (b) your misuse of the Services; (c) your violation of applicable law or third-party rights; or (d) disputes between you and third-party tools or providers.

5. Intellectual property

5.1 Our rights

We retain all rights, title, and interest in and to the Services, including software, branding, logos, documentation, Live2D assets, voice packs, and related technology. No rights are granted except as expressly stated in this Agreement.

5.2 Your content and model outputs

You retain ownership of content you input. Subject to this Agreement, rights in outputs generated for you may be governed by the applicable third-party AI provider's terms. Due to the nature of generative AI, outputs may not be unique.

6. Changes to this Agreement and termination

6.1 Changes

We may modify this Agreement at any time. If we make material changes, we will provide notice by posting on our website and/or in-app. Your continued use after the effective date constitutes acceptance. If you disagree, you must stop using the Services.

6.2 Termination

Termination options:

• By you: You may stop using the Services at any time.
• By us: We may suspend or terminate access if we reasonably believe you violated this Agreement or where required by law. Accounts terminated for material breach may not be eligible for refunds to the extent permitted by law.

7. Dispute resolution and governing law

7.1 Governing law

This Agreement and any dispute arising out of or relating to it will be governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.

7.2 Informal negotiation

Before initiating arbitration or court proceedings, you and AgentBell agree to attempt to resolve any dispute informally for at least sixty (60) days.

7.3 Class action waiver

To the fullest extent permitted by law, disputes must be brought in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding, unless both parties agree otherwise in writing.

8. Fees, payment, and refund policy

8.1 Subscriptions

Certain features may require a paid subscription purchased through our website (for example via Stripe) or through the Apple App Store, depending on the product surface. Fees are quoted in the currency shown at checkout unless otherwise stated.

8.2 Payment authorization

You agree to pay all applicable fees and authorize us and/or our payment processors to charge your selected payment method.

8.3 Apple App Store subscriptions

If you subscribe through the Apple App Store, the following terms apply in addition to the terms above:

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Your subscription automatically renews unless you cancel at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period, at the same price.
• You can manage and cancel your subscriptions by going to your Apple ID Account Settings after purchase.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

8.4 Refunds

For subscriptions purchased through the Apple App Store, refunds are handled by Apple in accordance with Apple's refund policies. For subscriptions purchased through our website (Stripe), because we provide multiple ways to evaluate the Services (including free tiers and trials where offered), paid purchases are generally non-refundable except where required by mandatory applicable law or where we determine a prolonged service outage materially prevented use.

9. Miscellaneous

9.1 Entire agreement

This Agreement and the Privacy Policy constitute the entire agreement between you and us regarding the Services.

9.2 Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

9.3 Force majeure

We are not liable for failure to perform due to events beyond our reasonable control, including natural disasters, war, government actions, or network failures.

9.4 Apple third-party beneficiary

You acknowledge and agree that Apple, Inc. and its subsidiaries are third-party beneficiaries of this Agreement as it relates to your use of the App obtained through the Apple App Store. Upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
